Acquisitions and Placement of Acquisition Debt and Equity

Acacia provides advisory services to and arranges debt and equity capital for middle market businesses in support of their growth and diversification plans. The Firm works in a partnership with the client to develop appropriate acquisition criteria and identify and approach target companies meeting these criteria. Acacia will also work closely with the client to perform comprehensive due diligence procedures, negotiate the price and structure with the necessary representations and warranties, and arrange any debt and equity financing necessary to close the transaction.

Restructuring and Placement of Recapitalization Debt and Equity

Acacia provides advisory services to and arranges debt and equity capital for middle market businesses in a variety of restructuring scenarios including management buyouts, ESOP buyouts and financing, special dividend recapitalizations, debt consolidations, and debt/equity swaps in distressed situations. The Firm combines its valuation expertise, creative structuring skills and negotiating experience to move participants towards common objectives.

Corporate Sales and Divestitures

Acacia works closely with Firm clients to maximize the value received in the outright sale or divestiture of their businesses and to meet the client's significant non-financial objectives. The Firm enhances sale value potential by managing a disciplined and orderly sale process and by expanding the number of interested acquirers. In addition, the Firm is sensitive to structuring and non-financial client needs such as tax implications and the impact of the transaction on client employees. The Firm stresses the importance of fully addressing these issues in negotiating the sale.

Structured and Securitization Financing

Acacia works closely with clients to creatively develop structured finance and securitization ideas which provide advantages over more traditional sources of financing including lower cost of capital, access to larger amounts of capital, systematic access to liquidity, off-balance sheet reporting, tax savings and other advantages of a regulatory nature. Acacia's efforts in this area are facilitated by its affiliation with Lord Securities Corporation, a former division of Goldman Sachs which owns and manages special purpose companies in connection with structured finance and securitization transactions with assets in excess of $9 billion.

Private Placement of Debt and Equity Offerings

Acacia provides advisory services to middle market companies which have exceptional reinvestment opportunities that would be attractive to the private placement market. The Firm will structure the financing, prepare the investment memorandum and place the levels of equity, subordinated debt, and senior debt necessary to fund the product or market opportunity. The Firm may also assist selected businesses in funding pre-packaged private placements in cases in which the Firm has extensive expertise with the type of investment being offered or ready access to the likely capital sources.

Business Plan Development

Acacia will assist existing clients in business plan development for new ventures or new strategic directions within businesses. The Firm will thoroughly research all critical issues regarding management, product development, manufacturing, marketing, finance, and competitive pressures. In addition, the Firm will make extensive direct inquiries of current operators, customers, capital sources, and investment analysts to formulate a cogent and persuasive argument for the specific development of the venture.

Fairness Opinions and Other Asset Valuation Assignments

Acacia provides middle market owners and managers independent appraisals of their corporate asset values to assess the adequacy of offers to purchase, fulfill necessary fiduciary responsibilities, or assist in critical estate planning decisions. The Firm will assess the value of corporate assets based on a review of the values of comparable publicly traded companies; the values of recently completed comparable transactions; and, the company's operations, prospects, and financial and business risks.
